These Terms and Conditions govern access, subscription, and use of the software-as-a-service (SaaS) platform named BiG Control (hereinafter, the "Service"), which is the exclusive intellectual, commercial, and technological property of BiG Technology, operated and incorporated under the laws of the Republic of Honduras. By registering, purchasing a subscription, or using the plans and modules published at https://bigcontrolhn.com, the user (hereinafter, the "Client" or "Subscriber Company") expressly, fully, and unreservedly accepts the content of this document, which constitutes a binding adhesion contract pursuant to Honduran legislation.

BiG Control is a cloud-based technology platform designed for commercial management, inventory control, point of sale (POS), and electronic or administrative invoicing. The Service is developed, managed, and operated exclusively by BiG Technology. The subscription is governed under a software-as-a-service (SaaS) model through periodic plans published on the official website.

Pursuant to the Honduran Electronic Commerce Law (Decree 149-2014), full legal validity, evidentiary force, and efficacy are recognized for contracts executed via electronic means, data messages, and digital records. Digital acceptance of these terms through registration or payment of services carries the same legal effects as a handwritten signature.

• Rate Modifications: Prices of the plans published in the pricing section are expressed in the applicable legal currency or US dollars as indicated, and may be modified by BiG Technology upon prior notice to active users through official digital channels.
• Billing Cycles: Services are enabled or renewed upon confirmation of advance payment for the chosen plan. Payments made are not subject to refunds or reimbursements, except where mandatory legal provisions dictate otherwise or due to verifiable billing errors attributable to the system.
• Taxes: Indicated prices may or may not include applicable legal taxes in Honduras (such as Sales Tax / ISV), which will be detailed at the time of issuing the corresponding invoice or fiscal receipt.

• The Client is responsible for maintaining the confidentiality of their access credentials (username and password) and all operations performed within their corporate account.
• It is strictly prohibited to use BiG Control for unlawful purposes, compromise the security of BiG Technology's technological infrastructure, perform reverse engineering, decompile, extract code, or transmit malicious code.
• BiG Technology reserves the right to immediately suspend or cancel accounts that breach usage rules, attempt to infringe upon software property rights, or present overdue payments.

• Absolute Ownership: All rights to intellectual property, industrial property, commercial trademarks, domain names, logos, source code, object code, algorithms, software architecture, databases, designs, and graphic or interface elements (UI/UX) of BiG Control are the exclusive and absolute property of BiG Technology.
• Limited Usage License: Purchasing a plan or paying a subscription grants the Client solely a temporary, revocable, non-exclusive, non-sublicensable, and non-transferable license to use and operate the platform online in accordance with its commercial purpose.
• Prohibition of Resale or Reproduction: Under no circumstances does this contract transfer ownership, property, authorship, or commercial exploitation rights to the Client. Copying, reproduction, commercialization, assignment, modification, or unauthorized distribution of any component of BiG Control is strictly prohibited.

Commercial, inventory, and final customer data entered or processed by the Client in BiG Control are under their sole responsibility. BiG Technology implements reasonable technical and organizational security measures to safeguard information security and confidentiality on its servers, committing not to assign or commercialize user operational databases to third parties without express consent.

• The Service is provided "as is" and "as available". BiG Technology makes its best technical efforts to ensure operational continuity and high availability of the platform; however, it does not guarantee that access will be uninterrupted or error-free due to internet connectivity factors, external cloud infrastructure providers, or scheduled maintenance.
• BiG Technology assumes no liability for loss of profits, loss of data derived from poor user management, or failures in the Client's equipment, local printers, and connectivity.

BiG Technology may modify these Terms and Conditions at any time. Modifications shall take effect upon publication on the public website https://bigcontrolhn.com. Continued use of the service following the publication of changes constitutes irrevocable acceptance thereof.

Any disagreement, controversy, or claim derived from the interpretation, execution, or breach of these Terms and Conditions shall be governed and interpreted in accordance with the laws of the Republic of Honduras. The parties submit expressly to the jurisdiction of the competent courts of Honduras, waiving any other jurisdiction that may correspond to them.
